Required statements about how Brandex is regulated, how we are paid, and the boundaries of the service we provide.
§ 01Who we are
Brandex Global Ltd, a private limited company registered in England and Wales. Registered office: 12b Sun Street, Waltham Abbey, Essex, EN9 1EE.
§ 02Services we provide
Brandex is a business-sale intermediary and M&A advisory firm. We represent sellers and introduce qualified acquirers of direct-to-consumer, Shopify, and FBA brands.
Our services include:
- Preliminary and formal valuation of going concerns
- Preparation of information memoranda and dataroom materials
- Introduction of pre-vetted acquirers
- Transaction support through signing, escrow, and completion
- Post-close handover coordination
§ 03Services we do NOT provide
Brandex is not authorised or regulated by the Financial Conduct Authority (FCA). We do not provide:
- Regulated investment advice under FSMA 2000
- Dealing in, or arranging deals in, regulated investments (e.g. public-company shares)
- Investment management or portfolio services
- Tax or legal advice
Our activities — intermediating the sale of unlisted private companies and sole-trader businesses — are not regulated activities under the Regulated Activities Order 2001. Parties should obtain their own independent legal, tax, and accounting advice on any transaction.
§ 04How we are paid
Brandex is paid on a success-fee basis by the seller at completion of a transaction. We charge no retainers, listing fees, or hourly rates. The specific fee percentage is agreed in writing before any mandate is accepted.
We do not accept payment, commission, referral fees, or inducements from buyers in exchange for preferred access to mandates. Our duty of care sits squarely with the selling party who has engaged us.
§ 05Conflicts of interest
Where Brandex (or any principal of Brandex) holds an equity interest in a business being sold or acquired, this is disclosed in writing to all parties before substantive negotiations begin. Where a buyer has previously engaged Brandex in any capacity, that relationship is disclosed to the seller.
